NextRoll California Consumer Privacy Act Service Provider Addendum

Effective: January 1, 2020

This California Consumer Privacy Act Service Provider Addendum ("CCPA Addendum") supplements the NextRoll, Inc. ("NextRoll") Terms of Service and any applicable Order Forms and Services Addenda ("Agreement"). It is effective upon acceptance of the Terms of Service.

This CCPA Addendum is being entered into pursuant to the California Consumer Privacy Act of 2018 (“CCPA”) and reflects the parties’ agreement on the processing of Personal Information by NextRoll pursuant to the Agreement. Except as otherwise modified by this CCPA Addendum, all provisions of the Agreement shall remain in full force and effect.

Definitions. Capitalized terms not defined in this CCPA Addendum shall have the same meaning given to them in the Agreement. In this CCPA Addendum:

(a) "CCPA" means the California Consumer Privacy Act of 2018, including amendments and final regulations.
(b) "Personal Information" has the same meaning given to such term under section 1798.140 the CCPA and is limited to Customer CRM Data provided to NextRoll by Customer and/or collected by NextRoll on behalf of Customer in order for NextRoll to provide Services under the Agreement.
(c) "Commercial Purposes," "Sell," and "Service Provider" have the meanings assigned to them in section 1798.140 of the CCPA.

Relationships of the Parties. Subject to the terms of this CCPA Addendum, NextRoll will act as Customer’s Service Provider solely with respect to Personal Information.

Restrictions. NextRoll will not: (i) Sell Personal Information or (ii) collect, retain, use, or disclose Personal Information for any purpose other than for the specific purpose of performing the Services specified in the Agreement, including collecting, retaining, using, or disclosing Personal Information for any Commercial Purpose other than providing the Services specified in the Agreement unless otherwise permitted under the CCPA.
